1. Introduction #

Welcome to the Vardhan Organics app ("App"), a mobile application developed and maintained by Sahynex TechSolution ("Sahynex"). The App is owned and operated by Vardhan Organics (the "Company"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

Sahynex develops and maintains the App on behalf of Vardhan Organics. Vardhan Organics is responsible for operational, transactional, and legal obligations (including refunds, commissions, and KYC). Sahynex provides technical services, hosting, and support and is not responsible for operational decisions. 2. Description of Service #

The App provides a platform for users in various roles (e.g., Director, District, Mentor, Ambassador) to manage sales, inventory, analytics, and transactions related to organic products. Features include product listing, cart management, payment processing via UPI, user registration, approval processes, and reporting.

The App is intended for use in India and complies with applicable Indian laws. Users must be at least 18 years old or have parental consent to use the App.

3. User Accounts and Registration #

• Registration: To use certain features of the App, you must register an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• Roles and Approval: Accounts may require approval by higher-level users (e.g., Directors approving Districts). Unapproved accounts may have limited access.
• Referral Codes: Referral codes are provided for user recruitment and must be used as per the App's guidelines.
• Security: You are responsible for maintaining the confidentiality of your account credentials. Notify Vardhan Organics immediately of any unauthorized use.

4. User Responsibilities #

• Compliance: You agree to use the App in compliance with all applicable laws, regulations, and these Terms.
• Prohibited Activities: You shall not engage in fraudulent activities, misuse the App, or violate intellectual property rights.
• Data Accuracy: Ensure all data entered (e.g., customer details, payments) is accurate. Vardhan Organics is not responsible for errors caused by inaccurate user input.
• Transactions: All sales and payments are processed through the App. You acknowledge that Vardhan Organics handles all transactional obligations, including refunds, disputes, and compliance with payment regulations.

5. Payment and Transactions #

• UPI Payments: Payments are facilitated via UPI integration and other payment partners. You are responsible for ensuring secure and accurate payment details.
• Earnings and Commissions: Commissions are calculated per the App's rules (e.g., based on sales hierarchies). Vardhan Organics is responsible for commission calculations and disbursements.
• Refunds and Disputes: Refunds, chargebacks and disputes are handled by Vardhan Organics. Contact them directly for any disputes; Sahynex is not responsible for operational resolution of payments.
• KYC / AML: KYC may be required to use certain features or to receive payouts. Failure to complete required KYC or AML checks may result in suspension. Non-compliance with KYC requests may lead to account restrictions.

6. Intellectual Property #

All content, trademarks, and materials in the App are owned by Vardhan Organics or licensed to them. Sahynex retains rights to the App's code and design. You may not reproduce, distribute, or create derivative works without permission.

User Content: By submitting content (photos, reviews, comments), you grant Vardhan Organics a non-exclusive, worldwide, transferable license to use, reproduce, distribute, and display that content in connection with the App and related services. We may remove content that violates our policies.

7. Automated Decision-Making & Profiling #

Automated logic and algorithms may be used for account approvals, role assignments, and commission calculations. If you believe an automated decision has adversely affected you, you may request a human review by contacting support.

8. Disclaimers and Limitation of Liability #

• No Warranty: The App is provided "as is" without warranties of any kind. Vardhan Organics and Sahynex do not guarantee uninterrupted service.
• Liability: Vardhan Organics is responsible for operational, transactional and legal obligations (including refunds, commissions, user disputes, and KYC decisions). Sahynex provides technical services and is not liable for operational decisions or business outcomes. To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages.
• Indemnification: You agree to indemnify Vardhan Organics and Sahynex against any claims arising from your use of the App, violation of these Terms, or infringement of third-party rights.

8. Termination #

We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the App ceases immediately.

9. Governing Law and Dispute Resolution #

These Terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Karnataka, India.

10. Changes to Terms #

We may update these Terms periodically. Continued use of the App constitutes acceptance of the revised Terms.
